Privacy Policy

1. Introduction

USA Distributions LLC and its subsidiaries and affiliates
("US Power Seller," "we," "us," or "our") respect your privacy. This Privacy Policy describes how we collect, use, and share personal data when you visit our website (https://www.uspowerseller.com), engage our marketplace management and advertising services, use our logistics and fulfillment services, or otherwise interact with us (collectively, our "Services").

The purpose of this Policy is to inform you about our privacy practices and to ensure you understand the purposes for which we collect and process personal data.

2. Application

This Policy relates to personal data — data about you, an individual, from which you can be identified.

This Policy does not apply to data held, processed, disclosed, or published in a form that cannot be linked to a living individual, including anonymized data and aggregated data ("Anonymized and Aggregated Data"). We reserve the right to generate Anonymized and Aggregated Data from databases containing personal data and to use such data as we see fit.

This Policy is intended to establish a standard for our information processing activities globally. Those activities may be more limited in some jurisdictions based on local law. Where a particular jurisdiction's laws restrict the categories of personal information we may collect or how we may process it, we comply with those local laws and regulations.

3. Changes to This Policy

We may update this Policy from time to time. The updated version is effective upon posting. Please check this page for the most current version. Where a change is material, we will provide notice by email or a prominent notice on the Services before the change takes effect.

4. Responsibility for Data Control and Processing

Where personal data is collected and processed in connection with our Services,USA Distributions LLC is the entity responsible for processing that data.

For questions or concerns about our use of your personal data, contact Jay Shinberg, COO, at privacy@uspowerseller.com.

Where we act as a processor. When we manage marketplace accounts, advertising, or fulfillment operations on behalf of a brand or seller client, we generally act as a service provider / processor with respect to personal data in that client's systems, including data we access in their Amazon Seller Central account or their order and shipment records. In those cases we process that data only on the client's documented instructions and under our written agreement with them, not for our own purposes. The client remains the controller of that data, and requests from individuals about it should ordinarily be directed to the client — though we will assist the client in responding, and will forward requests we receive directly.

5. Country of Processing

We operate the Services from the United States of America, and our data collection and processing activities take place predominantly in the USA, principally in the State of Georgia. Data collected from users of the Services is collected in the USA. We store and otherwise process data, including personal data, through third-party cloud and IT service providers that may be located in or operate from other countries.

6. Personal Data We Collect

We collect the following categories of personal data:

(a) Information you provide directly. Name, business name, job title, email address, telephone number, mailing and shipping addresses, and the content of messages, forms, and inquiries you send us. If you become a client, we also collect billing contact details and the commercial terms of our engagement.

(b) Account and credential information. Where you engage our Services, we collect the information needed to establish and administer your account with us, including login identifiers for our own systems. We do not ask for, and you should never send us, your Amazon Seller Central password. Access to your selling account is established exclusively through Amazon's authorized permissions workflows (see Section 7).

(c) Payment information. Payment and billing information necessary to invoice and collect for the Services. Card and bank details are processed by our third-party payment processors; we do not store full payment card numbers on our systems.

(d) Operational and logistics data. Where we provide fulfillment, warehousing, or freight services, we process order and shipment records that may contain recipient names, delivery addresses, telephone numbers, and email addresses of our clients' customers. We process this data solely to pick, pack, ship, track, and support the fulfillment of those orders on our client's behalf.

(e) Automatically collected technical information. When you use our website, we automatically collect IP address, browser type and version, operating system, device identifiers, referring and exit pages, pages viewed, timestamps, and similar log data, through cookies, log files, pixels, clear GIFs, and comparable technologies.

(f) Cookies and similar technologies. We and our service providers use cookies and similar technologies to operate the site, remember your preferences, measure traffic, and — where permitted and where you have consented as required — for analytics and advertising. You can control cookies through your browser settings; disabling some cookies may impair site functionality.

(g) Advertising identifiers. Unique strings associated with a mobile device and provided by its operating system. Certain advertising identifiers can be modified or disabled by users in the operating system's settings.

(h) Location data. When you access the Services using a mobile device, we may access, collect, monitor, or remotely store location data, which may include GPS coordinates or similar information about your device's location. Some location-based features may not function properly if location data is unavailable or disabled.

(i) Information from third parties. Business contact information from publicly available sources, marketplace and advertising platforms, referral partners, and business data providers, used for account administration and business development.

(j) Commercial communications. Insofar as permitted under applicable law, we may use the information we collect to communicate with you about the Services. Subject to your consent where legally required, we may also communicate with you about other services we and our affiliates offer, including newsletters, promotions, and special offers. We may also send you service-related notices such as account verification and technical and security notices.

(k) Use with your consent. We may use your information for any other purpose for which you provide consent.

We do not intentionally collect sensitive personal information (such as government identifiers, precise geolocation, health data, or biometric data) in the ordinary course of providing the Services, except where we collect identity or tax documentation required to onboard a client or vendor or to comply with law.

7. Amazon Selling Partner and Marketplace Data

Because a substantial part of our business involves managing Amazon selling accounts and other marketplace channels on behalf of clients, we maintain specific commitments regarding that data:

(a) Authorized access only. We access selling account data only through the access channels the marketplace provides and authorizes. For Amazon, this means the selling partner invites us as an Authorized Partner through Seller Central's Global User Permissions, and we accept that invitation on the Solution Provider Portal. We do not request, share, or use selling account passwords, and we do not access accounts by credential sharing.

(b) Least privilege. We request only the marketplace roles and permissions required to deliver the specific services a client has engaged us for, and we document the business purpose for each role requested.

(c) Delegation within our organization. Where we delegate account access to members of our team, we do so through the marketplace's own user-management features under our authorized partner account. Access is granted on a need-to-know basis, tied to a named individual, and revoked promptly when that individual changes role or leaves.

(d) Purpose limitation. We use marketplace and selling partner data only to provide the contracted services to the client it belongs to. We do not use one client's data to benefit another client, and we do not sell selling partner data or personally identifiable information obtained through marketplace APIs or account access.

(e) Security controls. We maintain administrative, technical, and physical safeguards for marketplace data, including access controls and unique credentials per user, multi-factor authentication on accounts that support it, encryption of data in transit, restriction of data access to personnel with a business need, logging of access to systems holding this data, and a documented incident response process.

(f) Retention and deletion. We retain personally identifiable information obtained through marketplace channels only as long as necessary to fulfill the order or service purpose for which it was obtained, or as required by law, tax, or accounting obligations. Where a marketplace's data protection requirements specify a shorter retention period for personally identifiable information, we apply that shorter period.

(g) Termination of access. On termination of a client engagement, or on the client's request, we surrender the account access granted to us and cease processing that client's marketplace data other than as required by law or for the retention of records of our own performance.

8. Automated Decision-Making

We do not envisage that any decisions will be taken about you based solely on automated decision-making that will have a significant effect on you. We will update this Policy if this position changes.

9. Purposes for Which We Use Personal Data

We collect and use personal data for the following purposes:

(a) To deliver the Services and enable you to use them efficiently; (b) To perform our contractual obligations to clients, and to receive, pick, pack, ship, track, and support the fulfillment of orders handled on their behalf; (c) To manage marketplace listings, catalogs, advertising, and account operations for clients who have engaged us to do so; (d) To administer accounts, invoice, and collect payment; (e) Insofar as permitted under applicable law, to communicate with you about the Services and other services we or our affiliates offer; (f) To personalize, test, monitor, improve, and upgrade the Services; (g) For loss prevention purposes and to protect and enforce our rights and meet our obligations to third parties; (h) To meet our legal obligations and applicable regulatory requirements, including where necessary to assist law enforcement and respond to subpoenas or court orders; and (i) For internal business purposes, such as compiling and analyzing usage information for operational, statistical, and business purposes.

10. Your Responsibilities

It is important that the personal data we hold about you is accurate and current. If you have provided us with personal data, please keep us informed if those details change.

11. Legal Basis for Processing

Where required by applicable law, our processing of personal data is lawful on one or more of the following bases:

(a) Performance of our contractual obligations to you, or steps taken at your request prior to entering into a contract; (b) Compliance with legal obligations to which we are subject, including compliance with legal process; (c) Our legitimate interests in providing and administering the Services, conducting commercial research, improving and maintaining the Services, protecting the security and integrity of our systems and databases, protecting our business and reputation, taking precautions against legal liability, dealing with our assets in the event of a business change, protecting and defending our rights and property, institutional risk control, and resolving disputes, investigating and responding to inquiries or complaints regarding your use of the Services; and (d) Where none of the above applies, your consent.

12. How We May Share Information

(a) Service providers. We may share information with third-party service providers that perform services on our behalf, including information technology and hosting providers, data analytics providers, payment processors, carriers and freight partners, and professional advisors. Where information is shared with such providers, we require by contract that they process it only on our behalf, on our instructions, and for the benefit of our business rather than their own.

(b) Clients and marketplaces. Where we act on a client's behalf, we share information with that client and with the marketplaces, advertising platforms, carriers, and systems necessary to perform the engagement.

(c) Suppliers and fulfillment partners. Where necessary, we may provide order details, including personal information of the recipient, to the supplier or fulfillment partner of the ordered product, but only where necessary to fulfill the order, to resolve a problem with an order, or in other specific circumstances.

(d) Business change. If we become involved in a merger, consolidation, acquisition, sale of assets, joint venture, securities offering, bankruptcy, reorganization, liquidation, dissolution, or other transaction, or if ownership of all or substantially all of our business otherwise changes, we may share or transfer information to the successor party or parties in connection with that transaction or change.

(e) Necessary disclosure. We may disclose information to third parties to: (i) enforce or apply our contractual or legal rights; (ii) comply with laws, subpoenas, warrants, court orders, legal process, or requests of government or law enforcement officials; (iii) protect our rights, reputation, safety, or property, or that of our clients or others; (iv) protect against legal liability; (v) establish or exercise our rights or defend against legal claims; or (vi) investigate, prevent, or take action regarding known or suspected illegal activity, fraud, or violation of our rights, reputation, safety, or property, or those of our users or others; or as otherwise required by law.

(f) Service-type information. We may share certain service-type information obtained through cookies, log files, device identifiers, location data, and clear GIFs — such as anonymous usage data, referring and exit pages and URLs, platform types, and click counts — with third-party business associates who may use it for the purposes described in Section 6.

(g) Aggregated data. We may aggregate or strip information of all personally identifying characteristics and share that aggregated, anonymized data with third parties or publish it. This data does not personally identify you and helps us measure and improve the Services.

(h) We do not sell personal information. We do not sell personal information, and we do not share personal information for cross-context behavioral advertising, as those terms are defined under California law.

13. How We Protect Information

We maintain administrative, technical, and physical safeguards designed to protect information provided through the Services against loss, theft, and unauthorized access, use, disclosure, or modification. These include role-based access controls, unique credentials for each user, multi-factor authentication where supported, encryption of data in transit, network and endpoint protections, restriction of physical access to our facilities and systems, background-appropriate personnel practices, and a documented incident response process.

However, no method of transmission or storage is completely secure. We cannot ensure or warrant the security of information you transmit to us, or guarantee that information on the Services will not be accessed, disclosed, altered, or destroyed. Email sent to or from the Services may not be secure. Please use caution when submitting information online and take care in deciding what to send us by email. We assume no liability for disclosure of information due to transmission errors, third-party access, or causes beyond our reasonable control.

14. Your Choices

(a) Controlling your settings. You can limit the information your browser or mobile device provides by adjusting your browser, operating system, or device settings. You can stop receiving promotional email from us by following the unsubscribe instructions in those messages. Unsubscribe is not available for certain transactional emails concerning your relationship or dealings with us.

(b) Do Not Track. At this time we do not respond to "Do Not Track" signals sent from web browsers. We do honor the Global Privacy Control (GPC) signal where applicable law requires it. Disabling tracking mechanisms may disable certain features of the Services.

15. How Long We Keep Information

We retain personal data only as long as necessary to fulfill the purposes for which we collected it, including to satisfy legal, accounting, tax, and reporting requirements, and to establish or defend legal claims.

To determine the appropriate retention period, we consider the amount, nature, and sensitivity of the data, the potential risk of harm from unauthorized use or disclosure, the purposes for which we process it, whether we can achieve those purposes by other means, and applicable legal requirements. Marketplace and selling partner data is subject to the additional retention commitments in Section 7(f).

16. Children's Privacy

The Services are directed to businesses and are intended for use by adults only. We do not knowingly collect information from individuals under 16 years of age. If you are under 16, please do not submit any information through the Services. If we learn that we have collected such information, we will delete it.

17. Third-Party Sites and Services

The Services may reference or link to other websites, applications, or resources. If you access a website, application, or resource provided by a third party, this Policy does not apply. Your interactions with those properties are governed by the privacy policies of the third parties that operate them. Please review those policies carefully.

18. EU and UK Privacy Rights

Individuals in the European Union and the United Kingdom have the following rights regarding their personal data:

(a) To require us to confirm whether their data is being processed, the purposes of processing, the recipients of any disclosed data, the retention period, and whether automated decision-making is used; (b) To require us to rectify inaccurate data; (c) Where we have relied on consent, to withdraw that consent at any time — withdrawal does not affect the lawfulness of processing carried out before withdrawal; (d) To request erasure of their data in certain circumstances, for example where the data is no longer necessary for the purpose for which it was collected; (e) To require us to restrict processing in certain circumstances, such as where the accuracy of the data is disputed or an objection has been raised; (f) To receive their personal data, in certain circumstances, in a structured, commonly used, machine-readable format; (g) To object, in certain circumstances, to processing; and (h) To lodge a complaint with the data protection supervisory authority of the United Kingdom or of the EU member state where they reside.

These rights are subject to conditions and exceptions, including where data is used for statistical or scientific research purposes and exercising the right would prevent or seriously impair those purposes.
